The all-stock transaction is valued at $6 billion, with ownership of the combined company set to be evenly split between the shareholders of both TAE and TMTG.

U.S. President Donald Trump indirectly holds a majority stake in TMTG. The company went public last March via a merger with a special purpose acquisition company (SPAC). TMTG operates the Truth Social social network and manages a $2.5 billion fund investing in digital assets such as Bitcoin.

Despite its assets, TMTG has faced financial challenges, reporting a net loss of $54.8 million last quarter on net sales of just $972,900. Similarly, Foothill Ranch, California-based TAE Technologies is also unprofitable, having lost $54.8 million in the third quarter, but it holds $166 million in cash reserves.

At the same time, she also reminded readers that Trump mocked Biden’s actual lack of energy and propensity to sleep on the job while his handlers ran the country. She even implied that Trump may be on Ozempic, noting that the President had lost weight despite supposedly not exercising and eating a lot of fast food. He does not get regular exercise, in part because he has a long-held theory that people are born with a finite amount of energy and that vigorous activity can deplete that reserve, like a battery. He enjoys red meat and is known to eat McDonald’s by the sackful. According to his physician, however, he has lost weight. In 2020, Mr. Trump tipped the scales at 244 pounds, a weight formally deemed obese for his 6-foot-3 frame. This year, Mr. Trump’s physician, Dr. Sean P. Barbabella, said in a summary of the president’s health that he weighed 224 pounds. Lucas: Trying to make cents of the penny’s demise

Once a proud coin of the realm, the penny has become a pest. It gets no respect. And the penny is not even worth one cent anymore. It costs the government nearly four cents to mint one penny. No wonder President Donald Trump ordered its demise. So in the future, every time it rains it won’t rain “Pennies from Heaven.” Speaking about loose change, the nickel, dime and quarter will be next on the hit list before you know it. It costs 14 cents, or 14 pennies, to make a nickel, six cents to make a dime, and 15 cents to make a quarter. And Trump did the penny pinching without Sen. Chuck Schumer and the Democrats fighting to save the penny by shutting the government down over it. He did it without even offering Schumer a penny for his thoughts. Realistically, “Shutdown Schumer” would have been better off had he shut down the government to save the penny. “In for penny, in for a pound,” a fighting Schumer could have said. After all, a penny saved is a penny earned. But when he learned that Trump secretly planned to replace Abraham Lincoln on the face of the penny with his own image, he balked. It was a bad penny of an idea after all. Unnamed and nonexistent sources said Schumer called it a “penny-ante” kind of a deal in the first place. Of course, Trump had no such plans to replace Lincoln on the penny. But whatever Trump planned the Democrats would have attacked him on it anyway. Trump may not like pennies, but he likes Lincoln. Besides, my imaginary White House sources say that Trump, after shooting down idea of replacing President John F. Kennedy on the old half-dollar coin, is planning to replace George Washington on the $1 bill. Under his picture it will read, “IN TRUMP WE TRUST.” He plans to do that at the opening ceremony of the new Trump Ballroom he is building at the East Wing of the White House, which has cost a pretty penny even if the money to pay for it came from private sources and not taxpayers. Still, challenging Trump over the abolition of the penny is something that people could have related to. Everybody has pennies, whether they want to get rid of them or not. Pennies are everywhere. Which is why putting my two cents in at Market Basket I always say “Close enough” to the change, including pennies, the part-time high school cashiers having difficulty making change give me back. And it would have been a better way to challenge Trump rather than shut down the government and institute payless paydays for the military, air traffic controllers and government workers, while threatening needy people to go without food. It was a Schumer Shutdown over nothing. In the event you have not been watching every penny, Trump ordered Treasury Secretary Scott Bessent to stop making new pennies in February. Last week the U. S. Mint ended their production. The Mint has been producing them since 1793. Lincoln’s image was put on the penny in 1909. While no new pennies will be manufactured, there are billions of them in circulation and they will be around for a while, like many other government programs. Pennies, like the American people, are rugged survivors. During World War II, for instance, pennies were zinc-coated to save copper for the war effort. But they bounced back after we won the war. We have lived with pennies all our lives. Pennies are American history. And they will still be around, outlasting people, politicians, popes, pundits, poets, paupers and presidents. Save the cent. Mr. Mamdani has said consistently that he has wanted to meet with the president, so long as they could find a way to best serve New Yorkers in tandem. Mr. Trump has already started threatening to withhold federal funds from the city where he was born, raised, and grew his family business for the better part of eight decades. “Communist Mayor of New York City, Zohran ‘Kwame’ Mamdani, has asked for a meeting. Returning to Washington, D. C., from Florida on Sunday night, Mr. Trump told reporters on the tarmac that he was willing to meet with Mr. Mamdani so that they could figure out a way to make things “work” for New York City. “The mayor of New York, I will say, would like to meet with us and we’ll work something out,” the president said. “We want to see everything work out well for New York.” During an interview with MSNOW’s Chris Hayes on Wednesday night, Mr. Mamdani confirmed that the meeting was taking place. “I want to just speak plainly to the president about what it means to actually stand up for New Yorkers,” Mr. Mamdani said, adding that he wants to discuss the cost of living with Mr. Trump. “These are the stakes for New Yorkers and their ability to keep calling this city their home,” the mayor-elected said. Mr. Trump weighed in on the city’s mayoral race just hours before election day earlier this month, telling voters to support Governor Andrew Cuomo a longtime foe of Mr. Trump’s. The president went so far as to threaten the city’s federal funds if Mr. Mamdani was elected. “If Communist Candidate Zohran Mamdani wins the Election for Mayor of New York City, it is highly unlikely that I will be contributing Federal Funds, other than the very minimum as required, to my beloved first home, because of the fact that, as a Communist, this once great City has ZERO chance of success, or even survival!” the president wrote one day before the mayoral election. Mr. Trump has already tried to tie up New York’s federal funds in the past as a form of retribution for Democrats’ lack of acquiescence. At the beginning of the government shutdown in October, the Office of Management and Budget put tens of billions of dollars for infrastructure projects in the city on hold as a way to pressure Senator Chuck Schumer and Congressman Hakeem Jeffries. The major point of tension that could emerge most rapidly between Messrs. Trump and Mamdani once the latter is inaugurated in January will be the issue of immigration. Trump nominates new CFPB director, but White House says agency is still closing

By KEN SWEET, AP Business Writer NEW YORK (AP) President Trump nominated Stuart Levenbach as the next director of the Consumer Financial Protection Bureau, using a legal maneuver to keep his budget director Russell Vought as acting director of the bureau while the Trump administration continues on its plan to shut down the consumer financial protection agency. Levenbach is currently an associate director inside the Office of Management and Budget, handling issues related to natural resources, energy, science and water issues. Levenbach’s resume shows significant experience dealing with science and natural resources issues, acting as chief of staff of the National Oceanic and Atmospheric Administration during Trump’s first term. Levenbach’s nomination is not meant to go through to confirmation, an administration official said, speaking on condition of anonymity to discuss personnel matters. Under the Vacancies Act, Vought can only act as acting director for 210 days, but now that Trump has nominated someone to the position, that clock has been suspended until the Senate approves or denies Levenbach’s confirmation as director. Vought is Levenbach’s boss. The CFPB has been nonfunctional much of the year. Many of its employees have been ordered not to work, and the only major work the bureau is doing is unwinding the regulations and rules it put into place during Trump’s first term and during the Biden administration. While in the acting director role, Vought has signaled that he wishes to dismantle, or vastly diminish, the bureau. The latest blow to the bureau came earlier this month, when the White House said it does not plan to withdraw any funds from the Federal Reserve, which is where the bureau gets its funding, to fund the bureau past Dec. 31. The White House and the Justice Department used a legal interpretation of the law that created the bureau, the Dodd-Frank Act, that the Fed must be profitable in order to fund the CFPB’s operations. Several judges have rejected this argument when it was brought up by companies, but it’s never been the position of the government until this year that the CFPB requires the Fed to be profitable to have operating funds. “Donald Trump’s sending the Senate a new nominee to lead the CFPB looks like nothing more than a front for Russ Vought to stay on as Acting Director indefinitely as he tries to illegally close down the agency,” said Sen. Elizabeth Warren, the top Democrat on the Senate Banking Committee, in a statement. The bureau was created after the 2008 financial crisis as part of the Dodd-Frank Act, a law passed to overhaul the financial system and require banks to hold more capital to avoid another financial crisis.
